Terms & Conditions

These Terms & Conditions ("Terms") govern your use of any website, web application, or service (collectively, the "Services") operated by Scott Gibson LLC (doing business as Ideas by Scott, Tools by Scott, Billing by Scott, and any future brands). By creating an account, using the Services, or making any payment, you agree to these Terms.

1. Acceptance of Terms

Your access to and use of the Services is conditioned on your acceptance of and compliance with these Terms. If you do not agree, you may not use the Services.

2. Changes to Terms

We may revise these Terms at any time. We will notify you of material changes by email or in-app notice. Your continued use after changes constitutes acceptance.

3. Account Registration

You may be required to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

4. Subscriptions & Payment

Some Services require paid subscriptions.
Payments are processed securely via Stripe.
Subscriptions auto-renew unless canceled at least 24 hours before the next billing cycle.
No refunds except where required by law.

5. License Grant

We grant you a limited, non-exclusive, non-transferable license to use the Services for your personal or internal business purposes.

6. Prohibited Conduct

You may not:

Reverse engineer, decompile, or attempt to extract source code
Use the Services for any illegal purpose
Interfere with the security or operation of the Services
Create multiple accounts to abuse pricing or features

7. Intellectual Property

All content, code, and design in the Services remain the exclusive property of Scott Gibson LLC.

8. Termination

We may suspend or terminate your account immediately for any violation of these Terms.

9. Disclaimer of Warranties

The Services are provided "AS IS" without warranties of any kind, express or implied.

10. Limitation of Liability

To the fullest extent permitted by law, Scott Gibson LLC will not be liable for indirect, incidental, or consequential damages. Total liability will not exceed the amount you paid us in the 12 months prior to the claim.

11. Dispute Resolution (Consumer-Friendly Arbitration)

a. Informal Resolution

If you have any dispute, you agree to first contact us at hello@scottgibsonllc.com and attempt to resolve it informally for 30 days.

b. Binding Arbitration

If unresolved, any dispute will be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will be conducted remotely or in the United States.

c. Costs

If you are a consumer, your responsibility for any AAA filing, administration, and arbitrator fees will be limited to $200 (or the amount you would have paid to file in small claims court, whichever is less). Scott Gibson LLC will pay all remaining fees.

d. No Class Actions

You may only resolve disputes with us on an individual basis and may not bring a claim as a plaintiff or class member in a class action.

12. Governing Law

These Terms are governed by the laws of the State of Ohio without regard to conflict of law principles.
